1. Who we are and what these terms cover
These terms set out the basis on which Borealis Advisory ("we", "us", "our") provides advisory, process improvement and related services to you. Borealis Advisory is a boutique advisory practice based in Newry, Northern Ireland.
By booking or paying for a service, you agree to these terms. Please read them before you buy. If anything here doesn't work for your organisation, talk to us before booking — we'd rather agree the right terms up front than argue about them later.

2. Our services
We provide professional advisory services, including the Business Health Scan, process efficiency audits, improvement projects, charity process reviews, AI-augmented process work, onboarding and success plan design, training academy builds, and ongoing partnership arrangements. The specific scope of any engagement is whatever we agree in writing with you — by email, in a proposal, or in the description of the package you purchase.
Our services are advisory. We give you findings, recommendations and practical support. We do not provide legal, financial, tax, accounting, regulatory or medical advice, and nothing we produce should be relied on as such.
3. How a contract is formed
For most engagements we'll speak first, agree scope, and confirm it in writing. A contract between us comes into existence when we confirm in writing that we accept your instruction, or when you complete payment for a fixed-fee package — whichever happens first.
Where you buy a fixed-fee package directly through our website, your payment is an offer to purchase that package. We'll confirm by email, and the contract forms on that confirmation. If for any reason we can't take the work on, we'll tell you promptly and refund you in full.
4. Fees and payment
The fee for a Business Health Scan is £950. The amount shown at checkout is the total payable for that engagement. Fees for other services are as quoted to you in writing.
Card payments are processed by Stripe. We do not see or store your full card details. By paying, you also accept Stripe's own terms as the payment processor.
Where we invoice rather than take payment up front, invoices are payable within 14 days of the invoice date unless we've agreed otherwise in writing.
Fixed-fee packages cover the scope described. If you ask for work beyond that scope, we'll tell you before doing it and agree any additional fee with you in writing first — you will never receive an unexpected bill from us.
Reasonable travel and expenses outside the Newry and South Down area may be charged at cost, and only where agreed with you in advance.
5. Delivery and timescales
We aim to deliver the Business Health Scan within one to two weeks of the engagement starting. Timescales given for any service are estimates made in good faith, and depend on you providing timely access to the people, data and systems we need.
An engagement "starts" on the date we agree with you to begin work — usually the first scheduled session or the first request for information, not the date you paid.
6. Your responsibilities
To do good work we need honest input. You agree to:
- Give us reasonable access to the people, information and systems relevant to the engagement;
- Make sure the information you give us is accurate and complete so far as you're aware;
- Tell us about anything that materially affects the work — a restructure, a system change, a regulatory issue;
- Make sure you have the authority to share with us any third-party or personal data you provide.
Where delays are caused by information or access not being available, timescales shift accordingly.
7. Cancellation and refunds
We want you to feel comfortable booking. Our position is:
- Before work starts: cancel at any time before the engagement start date and we'll refund you in full.
- Once work has started: we'll refund the portion of the fee reflecting work not yet done, judged fairly and in good faith. If we've completed the diagnostic work and are writing up findings, that generally means no refund is due.
- If we cancel: if we can't deliver for any reason on our side, you get a full refund of anything paid for work not delivered.
If you are buying as a consumer rather than for a business, you have a statutory right to cancel within 14 days of entering the contract. If you ask us to start work within that 14-day period, you accept that you lose the right to cancel once the service is fully performed, and that if you cancel part-way through you'll pay for what's already been done.
To cancel, email hello@borealisadvisory.co.uk. Refunds are made to the original payment method, normally within 14 days of us agreeing the refund.
8. Confidentiality
Everything you tell us about your organisation is treated as confidential. We won't disclose it to anyone outside our practice without your permission, except where we're required to by law.
The same runs both ways: our methods, templates, frameworks and written deliverables are confidential to us, and shouldn't be shared outside your organisation without our agreement.
We may describe the general nature of work we've done — sector, type of problem, scale of result — without naming you or disclosing anything identifying, unless you're happy to be named. Any named case study or testimonial goes out only with your explicit written approval.
9. Intellectual property
The reports, roadmaps and recommendations we produce for you become yours to use freely within your organisation once you've paid for them in full.
The underlying methods, frameworks, templates, tools and know-how we use to produce them remain ours. Nothing in an engagement transfers ownership of those to you, and we're free to reuse them with other clients.
10. Liability
We take our work seriously and carry out engagements with reasonable care and skill.
Our recommendations are advisory. Decisions about whether and how to act on them are yours, and outcomes depend on how they're implemented and on factors outside our control. We don't guarantee any particular financial result, saving or outcome, and figures quoted anywhere on this website describe past engagements rather than promises about yours.
Except as set out below, our total liability to you in connection with any engagement is limited to the total fees you have paid us for that engagement. We are not liable for loss of profit, loss of business, loss of anticipated savings, loss of data, or any indirect or consequential loss.
Nothing in these terms limits or excludes our liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, or for anything else that cannot lawfully be limited or excluded.
If you are a business, these terms are the entire agreement between us on their subject matter, and you confirm you haven't relied on any statement not set out in them.
11. Data protection
How we handle personal data is set out in our Privacy Policy, which forms part of these terms. Where we process personal data on your behalf during an engagement, we'll only do so on your instructions and with appropriate safeguards in place.
12. Suspending or ending an engagement
Either of us may end an engagement by giving written notice if the other is in material breach of these terms and hasn't put it right within 14 days of being asked to.
We may also suspend work if fees are overdue, or if continuing would put us in a position that is unlawful, unethical or in conflict with another client's interests. If that happens we'll explain why and refund anything paid for work not delivered.
Ending an engagement doesn't affect rights and obligations that have already accrued, or the clauses on confidentiality, intellectual property and liability, which continue to apply.
13. Things outside our control
We're not liable for delay or failure to perform caused by events beyond our reasonable control. If such an event occurs we'll tell you promptly and agree a revised plan. If it prevents delivery for more than 30 days, either of us may end the engagement, and you'll be refunded for work not delivered.
14. Changes to these terms
We may update these terms from time to time. The version that applies to your engagement is the one published when your contract was formed. The "last updated" date above always reflects the current version.
15. Governing law
These terms and any engagement under them are governed by the law of Northern Ireland, and the courts of Northern Ireland have exclusive jurisdiction over any dispute — though we'd much rather resolve anything directly with you first.
